Terms of Service

KudiTax is a Nigerian tax filing and compliance platform that helps individuals and businesses:

• Calculate their tax liabilities under Nigerian tax law.
• Prepare and file tax returns with state Internal Revenue Services (IRS) and the Nigeria Revenue Service (NRS).
• Track income records, payment history, and filing status.
• Access tax compliance guidance through the KudiTax Practitioners Marketplace (Phase 2, when available).

KudiTax is a software tool, not a licensed tax advisory or accounting firm. See the Tax Disclaimer in Section 4.

To use KudiTax, you must:

• Be at least 18 years of age.
• Provide accurate, complete, and current information during registration and keep it up to date.
• Have a valid Nigerian email address for OTP authentication.
• Be a Nigerian tax resident or a person with Nigerian tax obligations.

You are responsible for maintaining the confidentiality of your account and all activity that occurs under it. Notify us immediately at hello@kuditax.ng if you suspect unauthorised access.

You agree to:

• Provide accurate financial and tax information. Filing false or misleading information with tax authorities is a criminal offence under Nigerian law.
• Use the Service only for lawful purposes consistent with Nigerian tax law and these Terms.
• Not attempt to reverse-engineer, hack, scrape, or interfere with the platform or its infrastructure.
• Not share your account credentials with any other person.
• Not use the Service to assist in tax evasion or any fraudulent activity.

Violation of these responsibilities may result in immediate account suspension and, where required by law, reporting to relevant authorities.

KudiTax offers a free Lite tier and paid subscription plans (Pro, Premium, Business) billed monthly or annually.

• All prices are in Nigerian Naira (₦) and include applicable VAT.
• Payments are processed by Paystack. By subscribing, you authorise recurring charges to your selected payment method.
• Annual plans are billed upfront (equivalent to 10 months , 2 months free).
• Refund policy: You may cancel at any time. For monthly plans, your access continues until the end of the billing period (no pro-rata refund). For annual plans, refunds are available within 14 days of payment if no tax return has been submitted.
• We reserve the right to change pricing with 30 days’ notice. Existing subscribers are grandfathered at their current rate for their current plan period.

All content, design, code, and trademarks on KudiTax (including the KudiTax name, Kudi mascot, and KudiShield logo) are owned by KudiTax Technologies Ltd. You may not reproduce, distribute, or create derivative works without our express written permission.

Your tax data and documents remain your property. By using the Service, you grant KudiTax a limited, non-exclusive licence to process your data solely to provide the Service.

By you: You may delete your account at any time from account settings. Per our data retention policy (see Privacy Policy §7), we retain filing records for 6 years as required by Nigerian law.

By KudiTax: We may suspend or terminate your account immediately if:

• You breach these Terms.
• We are required to do so by law or regulatory directive.
• Your account is used for fraudulent or illegal activity.
• You have an unpaid subscription balance after 30 days’ notice.

Upon termination, your right to access the Service ceases immediately. Paid plan fees are non-refundable except as stated in §5.

To the maximum extent permitted by Nigerian law, KudiTax Technologies Ltd shall not be liable for:

• Any tax penalties, interest, or assessments resulting from your tax filings , whether prepared using KudiTax or otherwise.
• Loss of data due to events outside our reasonable control (including third-party service outages, acts of God, or cyberattacks).
• Indirect, incidental, or consequential damages arising from your use of the Service.

Our total aggregate liability to you shall not exceed the total subscription fees you paid to KudiTax in the 12 months preceding the claim.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these Terms shall be resolved:

1. First, through good-faith negotiation between the parties (30-day notice period).
2. If unresolved, through mediation administered by the Lagos Court of Arbitration (LCA).
3. If still unresolved, through the courts of Lagos State, Nigeria, which shall have exclusive jurisdiction.

We may update these Terms at any time. We will provide at least 14 days’ notice of material changes via email or a prominent platform notice. Continued use of the Service after that date constitutes acceptance of the updated Terms.
